Preface and Introduction

Welcome to use the VPN service software and services!

This VPN Service User Agreement (hereinafter referred to as "this Agreement") is a legal agreement between you and COIHUB TECHNOLOGY LIMITED (hereinafter referred to as "VPN Service," "we," or "our") regarding the license to use and operation management services of this software. We hereby specifically remind you to carefully read and fully understand all the terms of this Agreement, especially the clauses on exemption and limitation of liability, privacy protection, usage rules, applicable law and dispute resolution, and other important clauses that may be highlighted in bold or capital letters. You must be of legal age as required by applicable laws in your region to access and sign this Agreement. If you are not of legal age, please read and fully understand this Agreement under the supervision of your legal guardian, and use this software and related services only after obtaining the explicit consent of your legal guardian.

By voluntarily clicking "Agree" through a webpage/pop-up window and/or actually using the VPN service software and services, you acknowledge that you have read, understood, and agreed to be bound by this agreement. If you do not agree to this agreement, please do not use any VPN service software or services.

1 Basic Overview of this Agreement

About this Service: This refers to our provision of VPN proxy connection services for specific applications through VPN service software.

Scope of Application: This agreement applies to all products and services provided by the VPN service, including applications, applets, web pages, software development kits (SDKs) and application programming interfaces (APIs) for use by third-party websites and applications, or other forms that may appear in the future, and is subject to the specific services provided by the VPN service.

Protection of Minors: If you are under 18 years of age (or have not reached the legal age of majority in the jurisdiction where you use this software or service), please carefully read and fully understand this agreement in the company of your parent or legal guardian. Your agreement to and actual use of this software and service indicates that you have read this agreement with your parent or legal guardian, and that you and your parent or guardian understand and agree to this agreement. If you are a parent or guardian who allows a minor to use the VPN service software or service, you agree to: (i) supervise the minor's use of the VPN service software or service; (ii) assume all risks associated with the minor's use of the VPN service software or service, including but not limited to the risks of content transmission with third parties via the Internet; (iii) assume any liability arising from the minor's use of the VPN service software or service; (iv) ensure the accuracy and authenticity of all information submitted by the minor; and (v) assume responsibility for the minor's use of the VPN service software or service under this agreement and be bound by this agreement.

Agreement Updates: To improve your user experience and enhance product security, we will continuously strive to develop new software and services, and provide timely software updates (including but not limited to software version upgrades, modifications, and feature improvements) or bug fixes. We reserve the right to modify this agreement as necessary, in accordance with applicable laws and regulations. The updated agreement terms will supersede the original agreement and will officially take effect upon the expiration of the period stipulated by applicable law. Unless otherwise stipulated by applicable law, this agreement will take effect from the date of update. The updated agreement terms will be published on the VPN service software and services, which you can view at any time. After this agreement is updated, your continued use of the VPN service software and services constitutes your acceptance of the updated agreement. If you do not accept the updated agreement, you have the right to discontinue using the VPN service products and services.

2 Scope of Software License

Subject to this Agreement, VPN Service grants you a limited, non-exclusive, non-negotiable, non-transferable, personal, and revocable license to access and use this software and service. You may install, use, display, and run this software and service on terminal devices owned or authorized for use by you for non-commercial purposes. All other rights related to this software not expressly granted to you under this Agreement belong to us. If you wish to use other rights related to this software, you must obtain our separate consent.

3 About VPN Service Software and Related Services

VPN Service is software independently developed by us, and the main services it provides include, but are not limited to:

1. You can use the VPN proxy service provided by this service to access the Internet at high speed, conveniently, and securely through specific applications;
2. Please understand and acknowledge that our services may be adjusted and updated from time to time according to your needs or our operational needs. Please refer to the service functions displayed in real time on our software webpage or other service interfaces (if any).

You understand and agree that during your use of this software and related services, we may push relevant information, advertisements, or brand promotion services to you, and we will display commercial advertisements, promotions, or information (including commercial or non-commercial information) from this software and related services and/or third-party suppliers and partners within this software and related services. If you do not wish to receive personalized advertisements, you have the right to choose to turn off such personalized advertisement information, but you may still receive non-personalized advertisement information in our products. If you receive advertisements via email or SMS, you have the right to unsubscribe.

You understand and agree that we may suspend, interrupt, or terminate the provision of this software and services based on our own business development or at the request of judicial, regulatory, or supervisory authorities.

Unless permitted by applicable law and with our written authorization, you may not use or otherwise export or re-export this software and services.

4 Restrictions on the Use of This Software and Service

When using this software and service, you shall not engage in the following activities, including but not limited to:

1. Publishing, transmitting, disseminating, or storing content that violates laws, regulations, policies, public order and good morals, such as insults, defamation, violence, or religious violations; publishing, transmitting, disseminating, or storing false information, advertising information, etc., that misleads, deceives, or affects others;
2. Renting, lending, copying, modifying, linking, reprinting, compiling, publishing, or releasing versions of this software, and similar activities;
3. Jailbreaking, reverse engineering, disassembling, or decompiling this software, or attempting to damage this software in other ways; or using plug-ins, add-ons, or third-party software not authorized by us. (3) Any actions by third parties that interfere with or access this software;
4. Copying, modifying, adding, deleting, attaching, or creating any derivative works of this software and this service, or data released into the memory of any device during the operation of this software, data exchanged between the client and the server during the operation of the software, and system data necessary for the operation of this software, or by modifying or forging instructions or data during the operation of the software, adding, deleting, or changing the functions or operating effects of the software, or operating or disseminating software or methods used for the above purposes to the public, regardless of whether such actions are for commercial purposes;
5. Engaging in other actions that violate laws, regulations, policies, public order and good morals, or social ethics, or without our written permission.

You may not and you agree not to, or cause others to, copy (except as expressly permitted in this license), disassemble, reverse-engineer, disassemble, attempt to export its source code, decode, modify the VPN service software, any services provided by the VPN service software, or any part thereof (except as prohibited by applicable law or the terms of the license for open source components that may be included in the VPN service software), or create other derivative works. You agree not to remove, obscure, or alter any proprietary notices (including, but not limited to, trademark and copyright notices) that may be attached to or included in the VPN service software.

5 Intellectual Property and Ownership

We own the intellectual property rights, ownership, and all rights not expressly granted to you in this software, this service, and all related information content (including but not limited to UI design, images, fonts, audio, etc.), including but not limited to copyright, trademark rights, and patent rights, and these are protected by applicable intellectual property, anti-unfair competition, and other laws and regulations, as well as relevant international treaties. Any commercial sale, reproduction, or licensing of this software to any third party without our express permission is prohibited.

6 Important Notes Regarding Your Use of This Software and Service

You fully understand and agree that, regardless of your location, your use of this software must comply with local laws and regulations, including but not limited to ensuring you possess the qualifications (if any) required by applicable laws and regulations to use this software, and you shall bear full responsibility for this.

You fully understand and agree that when using a specific service of this software, you may need to obtain relevant permissions and interfaces from your device to achieve the corresponding functions. Some specific services may also require agreement to separate user agreements, etc. Please carefully read the aforementioned relevant agreements and rules before using the service.

We have the right to display various information to you during the provision of this service, including but not limited to authorization prompts, display of advertising information and promotional information, etc., which may appear in the form of system messages or pop-up windows. If you do not agree to receive the service, you may cancel the relevant service, which may ultimately result in the inability to implement the relevant service functions;

You understand and agree that we will make reasonable commercial efforts to ensure the security of your data storage during your use of this service. However, we cannot provide a complete guarantee in this regard, including but not limited to the following:

1. To the maximum extent permitted by law, we are not responsible for the deletion or failure to store your relevant data in this software and service;
2. We will store information according to the minimum storage period required for business operations, unless you agree to extend the retention period or it is permitted by law. We also have the right to determine the maximum storage space for your data in this software, etc. You can back up the relevant data in this software and service according to your own needs.

When you use this service, the specific content displayed may vary depending on the version of the software you are using. You understand and agree that when you use certain versions of this software or enter the relevant pages of our developed applications, in order to provide you with a better service experience, we may adjust the installation location, size, UI interface, and other necessary information of the applications already installed on your terminal device. The specific version provided by us shall prevail.

You fully understand and agree that when registering an account to use this software, you are responsible for the security of your registered account information and password. You are responsible for your actions under your registered account, including any content you publish and any consequences arising therefrom.

You should independently assess the content you encounter while using this service and bear all risks arising from the use of such content, including but not limited to risks arising from reliance on the accuracy, completeness, or usefulness of the content. We cannot and will not be liable for any loss or damage caused by the aforementioned risks.

If we discover or receive reports from others that you have violated this agreement, we have the right to take measures without notice at any time, such as: deleting or blocking the relevant content; suspending or terminating your use of the corresponding account or all services; pursuing legal liability, etc. If your breach of this agreement causes damage to any third party, you shall bear the responsibility yourself; you shall also compensate us for any losses we suffer as a result (including but not limited to possible administrative penalties, attorney fees, and investigation and evidence collection costs).

7 Regarding Updates

To better provide you with related services and ensure the security of this software, we will periodically provide updates or iterations of this software and related services (including but not limited to software modifications, software version upgrades, partial function disabling, function enhancements, development of new services, software replacement, and function improvements). You can choose whether to update to the corresponding version as needed. We will also notify you in appropriate ways (including but not limited to system prompts, in-app messages, announcements, app store update prompts, etc.) where feasible. You have the right to choose to accept the updated version. Updating to the latest version may improve your user experience. If you choose not to accept the update function provided by the VPN service, you should understand that you may expose the software to serious security risks or cause the software to be unusable or unstable. Some functions and services of this software may be restricted or unable to function properly due to the lack of an updated version. To disable this function, you can turn off automatic system updates through the "About phone" option in "Settings".

8 Software or Services Provided by Third Parties

To facilitate your use of the VPN service software and services, this software or service may use third-party software or services. The results of your use or access are provided by the third party (including but not limited to services and content provided by third parties that you are redirected to through this software or service, and services and content accessed by third parties through the VPN service open platform, etc.). When using third-party software or services in this software, in addition to complying with the provisions of this agreement, you should also comply with the user agreement of the third party. We cannot guarantee the security, accuracy, effectiveness, and other uncertain risks of the services and content provided by third parties. To the maximum extent permitted by applicable law, you shall bear the relevant risks and responsibilities yourself.

Whether the third-party software or services are pre-installed in the VPN service software and services or activated or subscribed by you, you understand and agree that we cannot provide any express or implied warranties regarding the security, accuracy, effectiveness, and other uncertain risks of the services and content provided by third parties.

In the event of any dispute between you and the aforementioned third party providing the software and services, you shall resolve the dispute with the third party yourself, and you shall bear the relevant responsibilities.

9 Regarding Payments and Advertising

Some services provided on our platform are paid services, such as membership subscriptions. You can purchase and use these services. Specific activation and usage rules for paid services are subject to the relevant page descriptions and service agreements.

Membership subscription services are limited to the user's own use of the purchased device. Membership subscription services are online and virtual services, and are charged upfront. The membership fee is the price of the online and virtual services corresponding to the membership service you purchase, and is not a prepayment, deposit, down payment, or savings card payment. Once activated, membership subscription services are non-transferable and non-refundable (except in cases where the membership subscription service has significant defects rendering it completely unusable, as otherwise stipulated in this agreement, legally required to refund, or as we determine that a refund is permissible).

You understand and agree that we have the right to provide our services or functions to different users, either free of charge or for a fee, according to our own operational strategy.

• For users using this type of service, we reserve the right to charge for free services or features, and also have the right to provide some or all of the paid services or features to free users through direct free access, limited-time free access, or conditional free access. If this software may have related paid services, we will clearly inform you before you use it, and you are free to choose whether to accept or use it. At that time, please use it according to our prompts (including but not limited to service fee standards, payment terms, and service rules). You can only use such paid services after you have explicitly agreed to the relevant agreements and are willing to pay the fees.
• When you use this software and service, you will consume your device, bandwidth, traffic, and other resources. The costs of such resources, such as internet access fees, SMS fees, and software value-added services, shall be borne by you.

10 Privacy Policy

When you use the VPN service software and services, we may need to collect personal data to provide you with services. We attach great importance to protecting your personal data and have formulated a VPN service privacy policy (see the "Privacy Policy" for details), which clarifies the details of how the VPN service collects, uses, stores, transfers, and discloses your personal data. By downloading, installing, or using this service, you agree to be bound by the terms of this agreement and its privacy policy, and we will protect your privacy in accordance with this privacy policy.

11 Termination of Agreement and Liability for Breach of Contract

We have the right to determine whether your actions comply with the terms of this agreement. If you are found to have violated any applicable laws and regulations or any terms and regulations of this agreement or related rules, depending on the severity of your violation, the VPN service and its licensor have the right to take measures against you without notice, such as deleting the violating information, restricting, suspending, or terminating your use of this software and service. You will also be liable for your misconduct. After the termination of this agreement, we will continue to retain all information you retain on the VPN service software in accordance with applicable laws and regulations, and will delete information generated during your use of this software from our database within a reasonable period. You agree that, to the maximum extent permitted by applicable law, we shall not be liable to you for such deletion.

12 Indemnification

You agree to indemnify, defend, and hold harmless us, our licensors, our agents, and all officers, directors, and employees from and against any and all third-party claims, suits, losses, damages, liabilities, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your actions: (i) your failure to comply with the provisions of this Agreement in your use of the Service; (ii) your breach of this Agreement; or (iii) your violation of any law, regulation, or infringement of the rights of any third party.

13 Disclaimer

To the maximum extent permitted by applicable law, our Software and Services are provided on an "as is" and "as available" basis, and we hereby specifically disclaim all warranties or other commitments (including express, implied, or statutory) including (but not limited to) implied warranties of merchantability, fitness for a particular purpose, accuracy or completeness of response, results, workmanship, virus-free and negligent, liability, or conditions (if any) relating to the Software and Services.

This software does not contain any malicious code designed to damage your device data or obtain your privacy information. We will make every effort to ensure the secure, timely, effective, accurate, reliable, and continuous operation of this software and service. However, due to limitations of current technology, this software and related services may be affected or interfered with by various unstable factors. We cannot guarantee complete compatibility with all software and hardware systems, nor can we guarantee that this software is completely error-free or unaffected by any interference, nor can we guarantee that any errors in this software and related services will be corrected. If incompatibility or software errors occur, please contact us for technical support. If the compatibility issue cannot be resolved, you may delete this software. We shall not be liable for any losses caused to you as a result, to the maximum extent permitted by applicable law.

14 Limitation of Liability

To the extent not prohibited by applicable law, in no event shall we, our affiliates, senior management, directors, employees, or agents be liable to you for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to any of the following causes, including but not limited to damages for loss of profits, damage to goodwill, loss of use, loss of data, loss of business interruption, or any other intangible loss, regardless of their cause or the theory of liability (contract, tort, or otherwise) upon which such damages may be caused (even if we were aware of the possibility of such damages). Such causes include: (1) your use of or inability to use the Service; (2) unauthorized access to or alteration of content or materials you transmit; (3) deletion, corruption, or unusability of content or data you transmit through the Service; (4) the actions of any third party in connection with the Service; and (5) any other matter relating to the Service. This limitation may not apply to you in some countries or regions where exclusions or limitations of liability for personal injury, incidental, or consequential damages are not permitted. Furthermore, our maximum liability for all your losses shall not exceed the total price you would have paid for using the Software or Services within the 12 months prior to the date of your claim (if any paid services were involved), except where the laws of your jurisdiction do not permit limitation of liability by agreement, in which case applicable laws and regulations shall apply.

15 Governing Law and Dispute Resolution

Governing Law: The confirmation, performance, interpretation, modification and dispute resolution of this Agreement shall be governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China, without regard to its conflict of laws clause. You agree that this Agreement was signed in Hong Kong.

Arbitration: In the event of any dispute or controversy between you and us arising out of or relating to this Agreement, such dispute or controversy shall first be settled amicably through negotiation; if such negotiation fails, you unconditionally agree to submit any dispute or controversy (whether contractual, tort or otherwise) arising out of or relating to us, our directors, agents and employees to the Hong Kong International Arbitration Centre (HKIAC) for arbitration in accordance with the HKIAC Arbitration Rules. The arbitration shall be conducted by one (1) arbitrator. The arbitration shall be conducted in Hong Kong, China. The arbitration proceedings and all pleadings and written evidence shall be in English. The arbitrator's award shall be enforceable in any court with competent jurisdiction. Any arbitration under this Agreement shall be conducted on a personal basis. You have no right to bring any claim for arbitration on a collective or representative basis, and you will not bring or participate in any class action against us.

16 General Provisions

Headings: The headings of all provisions in this Agreement are for informational purposes only and have no substantive meaning in themselves, nor shall they be used as the basis for interpreting the meaning of this Agreement.

Severability: If any provision or rule of this Agreement is held to be partially invalid or unenforceable by any judicial or administrative body for any reason, such determination shall not affect the remaining provisions and rules of this Agreement, which shall remain in full force and effect and shall be interpreted in accordance with their terms.

Language: If this Agreement is available in multiple languages, including English and Arabic, and there are any discrepancies in the content, the English version shall prevail.

No Waiver Clause: At no time shall our failure to enforce any provision of the VPN Service, or our failure to require you to comply with any provision related to the VPN Service, be construed as a current or future waiver of such provision, nor shall it affect in any way our right to enforce such provision thereafter. Our express waiver of any provision, condition, or requirement of the VPN Service shall not constitute a waiver of any future obligation to comply with such provision, condition, or requirement.

Entire Agreement: This Agreement constitutes the entire agreement between you and us regarding the use of the software and supersedes any prior agreements between you and the VPN Service regarding the use of the software. You may also be subject to additional terms and conditions when you use or purchase open-source software, third-party content, or other services.
